BY USING THE SITE, YOU AGREE THAT YOU UNDERSTAND THE TERMS OF USE, AND THAT YOU CONSENT TO BE BOUND BY ALL OF ITS TERMS AND CONDITIONS. THESE TERMS OF USE SET FORTH YOUR RIGHTS AND OBLIGATIONS WITH RESPECT TO YOUR USE OF AND ACCESS TO THE SITE. IF YOU DO NOT AGREE TO THE TERMS, YOU SHOULD NOT USE THE SITE.

Company hereby grants you a nonexclusive, non-transferable license to use the Site solely for your personal, non-commercial (except with regard to your use of inherent functionality provided through the Site) use. As a condition of your use of the Site, you warrant to Company that you will not use the Site for any purpose that is unlawful or prohibited by these Terms of Use. If you breach any of these Terms of Use, your authorization to use the Site automatically terminates and you must immediately destroy any downloaded or printed materials.
You may not use automated systems (e.g., robots, spiders, etc.) to access the Site. You agree not to collect personally identifiable information of other users of the Site or to sell or otherwise exploit that information. You agree not to use the Site in any manner that could damage, disable, overburden or impair the Site.
Any rights not expressly granted by these Terms of Use or any applicable end user license agreements are reserved by Company and/or its vendors and licensors.
Confidential Information and Intellectual Property

You acknowledge that the Site and the Content includes information which is confidential and proprietary to Company ("Confidential Information"). Confidential Information includes Content or other information marked as "Confidential" or similar label, as well as any other Content or other information which you know or reasonably should know is confidential or proprietary to Company. (For those with access, this includes without limitation all information in and about others' Spills.) If you are not sure whether Content is Confidential Information, please contact an authorized Company employee for clarification and do not disclose such Content to any third party until you receive such clarification. You agree to keep all such Confidential Information strictly confidential and to not disclose any such Confidential Information to any third party without the advance written consent of Company.

Student Spill asserts service marks in its company name Student Spill,SM SPILLSM and "Supporting Peers In Laidback Listening,"SM SpillSM as a noun and related nouns (Spills,SM Spiller,SM SpillersSM), and the verb SpillSM and its conjugations (Spills,SM Spilling,SM Spilled,SM and SplitSM), and potentially other trademarks under federal and state law – collectively, the "Trademarks." You agree and concede that these Trademarks are protectable intellectual property under state and federal law. You must receive Student Spill's prior approval of all uses of any Trademark. Even then, you must only use the Trademarks in a truthful and positive way, maintain the brand's quality, and allow Student Spill reasonable access to any of your uses of the Trademarks. You promise to comply with any reasonable changes, terms, and conditions that Student Spill feels are appropriate in protecting and promoting its Trademarks or branding. (These requirements are important in maintaining the strength and validity Student Spill's Trademarks.)

Student Spill also has various other intellectual property rights and confidential information in its training manuals, technology, software (including its structure, organization and source code), website, plans, training and supporting techniques, marketing or promotion, participating schools, and practices. All of these (including Trademarks) are collectively referred to as "IP." Student Spill grants you a non-transferable and non-exclusive license to use its IP only insofar as required under this contract. You may not misuse any IP, which includes all of the following: (a) disclose (except, for Trademarks, as Student Spill expressly approves beforehand), damage, modify, adapt, alter, translate, or create derivative works from any IP, (b) sublicense, lease, rent, loan, transfer, disclose, or otherwise make available IP to any third party, (c) merge any IP with anything else, (d) use any IP for the benefit of third parties, such as to another college or university or in a service-bureau, time-sharing, or outsourcing capacity, (e) reverse engineer, decompile, disassemble, or attempt to derive the source code from any IP, (f) make or transmit a copy of any IP except as expressly allowed under this Section or in writing, or (g) use any IP to compete directly or indirectly with Student Spill or use any IP for the benefit of anyone else, including yourself, besides Student Spill. You also must (h) safeguard the IP with reasonable security means, at least as robust as used in your other security, (i) comply with any request by Student Spill to return any physical embodiments of IP or to certify in writing that you have complied with your duties under this agreement within ten business days, and (j) inform Student Spill within one day of you becoming aware of any actions or inactions constituting misuse, by yourself or others.

You acknowledge that any breach under this section will cause immediate and irreparable harm to Student Spill. Accordingly, Student Spill will have the right to seek and obtain preliminary and final injunctive relief to enforce this agreement in case of any actual or threatened breach, in addition to other rights and remedies that may be available.
Access to Site

In the event access to the Site or a portion thereof requires a user ID and password ("Protected Areas"), you agree to access Protected Areas using only your user ID and password as provided to you by Company, You agree to protect the confidentiality of your user ID and password, not to share or disclose your user ID or password to any third party, and to promptly notify Company in the event you become aware your user ID or password may have been disclosed to an unauthorized third party or otherwise compromised. Your access to the Site may be revoked by Company at any time with or without cause. You agree to defend, indemnify and hold Company harmless from and against all third party claims, damages and expenses (including reasonable attorneys fees) against or incurred by Company arising out of your use or access of the Site, or any breach of these Terms of Use.
Submissions / Uploads to the Site

If you submit or upload any information or files to the Site ("Submissions"), you agree not to (a) post or transmit anything that is defamatory, abusive, libelous, unlawful, obscene, threatening, harassing, fraudulent, pornographic, or harmful, or that could encourage criminal or unethical behavior, (b) submit or upload anything that violates the copyright or intellectual property rights of any person or entity, (c) post or transmit a virus or any other harmful component, or (d) contact other site users through unsolicited e-mail, telephone calls, mailings or any other method of communication. Further, you agree (e) to write only truthful statements, and to (f) use only your own true and accurate email address (not another's). Company shall have the irrevocable license and right to use Submissions for its business purposes. You are responsible for making sure all Submissions that you originate or require are properly backed up so you have ready access thereto in the event of loss, corruption or interruption. You agree to defend, indemnify and hold Company harmless from and against all third party claims, damages and expenses (including reasonable attorneys fees) against or incurred by Company arising out of any Submissions you post or allow to be posted to the Site.
Accuracy and Integrity of Information and Responses

Although Company attempts to ensure the integrity and accurateness of the Site and any communication Company makes to you (whether on this site, by email, or otherwise, "Responses"), it makes no representations, warranties or guarantees whatsoever as to the correctness or accuracy of the Site, Content thereon, or Responses. It is possible that the Site could include typographical errors, inaccuracies or other errors, and that unauthorized additions, deletions and alterations could be made to the Site by third parties. In the event that an inaccuracy arises, please inform Company so that it can be corrected. You acknowledge that Company may fail to respond to Submissions inadvertently or in its discretion. Information contained on the Site may be changed or updated without notice. Additionally, Company shall have no responsibility or liability for information or Content posted to the Site from any non-Company affiliated third party.

YOU ACKNOWLEDGE THAT COMPANY HAS NO DUTY TO READ SUBMISSIONS, RESPOND TO SUBMISSIONS IN ANY PARTICULAR TIME PERIOD, OR REPORT OR ACT ON ANY PROBLEM OR INJURY IN SUBMISSIONS (WHETHER COMPANY OR ANYONE WHO READS THE SUBMISSIONS KNEW OR SHOULD KNOW WHAT, IF ANY, ACTION THAT WOULD OR COULD PREVENT, MITIGATE, OR RECTIFY THE PROBLEM OR INJURY, REGARDLESS OF THE SEVERITY OR SUBSTANTIALITY OF THE PROBLEM OR INJURY OR THE AMOUNT OF EXPENSE OR EFFORT COMPANY WOULD EXPEND, AND EVEN IF COMPANY BEGINS TO ACT AND STOPS OR FAILS TO SUCCEED). YOU FURTHER ACKNOWLEDGE THAT NON-PROFESSIONAL STUDENTS THAT ARE NOT EMPLOYEES OF COMPANY WILL WRITE RESPONSES, THAT RESPONSES MAY CONTAIN WORTHLESS OR EVEN DETRIMENTAL ADVICE, AND THAT YOU HAVE NO RIGHT TO RELY ON RESPONSES TO DO ANY ACT THAT IS ILLEGAL OR WOULD SUBJECT YOURSELF OR COMPANY TO LEGAL LIABILITY (INCLUDING WITHOUT LIMITATION HARMING YOURSELF, ANOTHER, OR THE PROPERTY BELONGING TO YOURSELF OR ANOTHER). YOU HEREBY WAIVE ALL CLAIMS AGAINST COMPANY THAT YOU OR YOUR FAMILY OR RELATED PERSONS MAY HAVE RELATED TO WHAT RESPONSES SAY OR HOW OR WHEN THEY ARE RECEIVED (INCLUDING WITHOUT LIMITATION A CLAIM OF WRONGFUL DEATH THAT YOU COMMITTED SUICIDE OR FOR OTHER DAMAGE YOU SUSTAIN IF YOU DO AN ILLEGAL ACT, OR HARM YOURSELF, ANOTHER, OR THE PROPERTY BELONGING TO YOURSELF OR ANOTHER). YOU AGREE TO SAVE, INDEMNIFY, AND HOLD HARMLESS COMPANY FROM ANY SUCH CLAIMS (INCLUDING WITHOUT LIMITATION CLAIMS FROM YOUR SPOUSE, CHILDREN, PARENTS, OR ANY FAMILY), INCLUDING REASONABLE ATTORNEY'S FEES. Tips for Responding

Spill is a community that relies on authenticity and mutual respect. Here are a few tips for writing appropriate responses:

  1. Put yourself in the spiller's shoes and remember, it's about them not you.

    Speaking to a person's strengths, acknowledging the difficulty of the situation, or empathizing with the spiller is great. Personal anecdotes showing that you can relate is also helpful.

  2. Try to not make generalizations or assume that you have all the right answers.

    Remember, you don't know the sexuality, cultural background, religion, or socioeconomic status of the person.

  3. Keep it positive and end with hope.

    Wrap up your main points cohesively so that the spiller knows how to proceed. Ending on an encouraging and empowering note is wonderful.
